Summary: The Right of Retention Contract is a type of real estate promotion contract in Algeria, concluded between the real estate developer and the right holder. It grants the right holder the priority to purchase a specified property within an ongoing real estate project in exchange for a financial payment called "the down payment." The importance of this right lies in the fact that it pertains to a property that does not yet exist, providing the real estate developer with the opportunity to test the market and gather financial resources. For the right holder, it allows them to reserve a building or a part of it within planned projects, providing a guarantee for the future. Additionally, the Sale on Plans Contract is one of the most significant contracts in the field of real estate promotion under Algerian law, due to its specific nature of relating to a property that does not yet exist and requiring the passage of time for its execution and transfer of ownership, coinciding with the progress of the construction work. This contract requires special conditions, including proof of ownership elements and formal requirements such as the necessity of having the contract in an official form, along with legal guarantees like the warranty certificate and the guarantee of good completion. Despite these conditions, they are not sufficient to protect the buyer from the actions of the real estate developer. On the other hand, the legislator adopted the Right of Retention Contract as a tool to address the housing crisis, along with diversifying the participants in the real estate promotion market. Nonetheless, the legislator abandoned it under Legislative Decree 03-0 dated March 1, 1993, concerning real estate activity, for unclear reasons. It was then reorganized in Law 04-11 dated February 17, 2011, which sets out the rules governing real estate promotion activities.
