عقد الامتياز القابل للتحويل إلى تنازل كآلية للاستثمار في مناطق النشاطات في ظل القانون 23-17 Convertible concession contract as a mechanism for investment in activity zones under Law 23-17

من إعداد الطالبتين: - طنجاوي أمال - رباحي أمل الملخص: يعتبر الإمتياز آلية حديثة لاستغلال الأراضي التابعة لأملاك الدولة الخاصة والموجهة لإنجاز مشاريع استثمارية إذ أنه من الأنظمة التحفيزية للإستثمار في الجزائري خاصة في العقار الصناعي وتعتبر الأوعية العقارية المتواجدة على مستوى مناطق النشاطات واحدة من أهم مكونات العقار الصناعي والتي أنشئت على المستوى المحلي من طرف السلطات المحلية، وذلك بغرض تحريك وتيرة التنمية وخلق مناصب شغل وقد حرصت الدولة على الإستغلال الأمثل لهذه العقارات في هذه المناطق وذلك وفق آلية الإمتياز لذا خص المشرع الجزائري الإمتياز بمجموعة من القوانين، من أجل تنظيمه منذ إذ كان يمنح بصيغة التراضي غير قابل للتنازل إلى غاية القانون 23/17 الذي يحدد شروط وكيفيات منح العقار الإقتصادي التابع للأملاك الخاصة للدولة الموجهة لإنجاز مشاريع والذي أتى لتعزيز هذه الآلية، ومنح للمستثمر الحق في إمتلاك العقار الصناعي الممنوح في إطار الإمتياز وهذا عن طريق التنازل عن هذه العقارات وفق شروط محددة قانونا وعن طريق مؤسسات منحتها الدولة تفويض تسيير هذه العقارات. الكلمات المفتاحية: الإمتياز، العقار الصناعي، العقار الإقتصادي التابع للأملاك الخاصة. Abstract: The concession is a modern mechanism for exploiting state-owned land intended for investment projects. It is one of the incentive systems for investment in Algeria, particularly in industrial real estate. Real estate assets located within activity zones are considered one of the most important components of industrial real estate, established at the local level by local authorities to stimulate development and create jobs. The state has been keen to ensure the optimal exploitation of these properties in these areas, using the concession mechanism. Therefore, the Algerian legislator has dedicated a set of laws to the concession, regulating it from its initial granting by mutual consent, which was non-transferable, until Law 23/17, which defines the terms and conditions for granting economic real estate belonging to the state's private property intended for the implementation of projects. This law strengthened this mechanism and granted investors the right to own industrial real estate granted under the concession. This is achieved by transferring these properties according to legally defined conditions and through institutions authorized by the state to manage these properties.

Résumé : La concession est un mécanisme moderne d’exploitation des terres domaniales destinées à des projets d’investissement. Elle constitue l’un des systèmes d’incitation à l’investissement en Algérie, notamment dans l’immobilier industriel. Les actifs immobiliers situés dans les zones d’activité sont considérés comme l’une des composantes les plus importantes du foncier industriel, établi au niveau local par les collectivités locales pour stimuler le développement et la création d’emplois. L’État a tenu à assurer une exploitation optimale de ces biens dans ces zones grâce au mécanisme de la concession. Par conséquent, le législateur algérien a consacré un ensemble de lois à la concession, la réglementant depuis son octroi initial par consentement mutuel, incessible, jusqu’à la loi 23/17, qui définit les conditions d’octroi des biens immobiliers économiques appartenant au domaine privé de l’État et destinés à la réalisation de projets. Cette loi a renforcé ce mécanisme et accordé aux investisseurs le droit de posséder des biens immobiliers industriels concédés dans le cadre de la concession. Ce droit est obtenu par le transfert de ces biens selon des conditions définies par la loi et par l’intermédiaire d’institutions autorisées par l’État à les gérer.
